Terms and Conditions

These Terms apply to all courier companies (the “Client”) subscribing to the Courier Booking System (the “System”) provided as a hosted Software-as-a-Service (SaaS) platform.

1. Definitions

  • System Provider: The owner and operator of the Courier Booking System.
  • Client: The courier or logistics business subscribing to the System.
  • System: The managed WordPress-based courier booking, pricing, payment, and administration platform.
  • Subscription: The monthly license and service plan selected by the Client.

2. Scope of Service & Hosting

  • 2.1 Exclusivity of Hosting: The System is provided strictly as a hosted service. All installations must reside on infrastructure controlled by the System Provider.
  • 2.2 No Migration: Clients are prohibited from migrating, copying, or replicating the System to third-party servers.
  • 2.3 Platform Access: Administrative access is restricted via specialized roles. Clients do not have access to server-level files (FTP/SSH), database management (phpMyAdmin), or plugin/theme installation menus to ensure platform stability.
  • 2.4 Mobile Functionality: Real-time mobile management is provided via the official WooCommerce Mobile App. The System Provider is not responsible for hardware compatibility or third-party app store availability.

3. Fees & Billing

  • 3.1 Setup Fees: A once-off setup fee is payable before deployment and is non-refundable once system configuration has commenced.
  • 3.2 Subscriptions: Fees are billed monthly in advance.
  • 3.3 Arrears: Failure to settle fees within 48 hours of the due date will result in automated system suspension.
  • 3.4 Custom Development: Any custom features or third-party API integrations (e.g., specific courier partners) not included in the standard package will require a separate discovery fee and a formal quote.

4. Intellectual Property

  • 4.1 Ownership: All software, custom code, logic, and configurations (including Plugins and APF logic) remain the exclusive property of the System Provider.
  • 4.2 Licensing: Clients are granted a non-exclusive, non-transferable license to use the system for the duration of an active subscription.
  • 4.3 No Resale: Clients may not resell the system or use it to provide SaaS services to other courier entities.

5. Client Responsibilities

The Client acknowledges they are solely responsible for:

  • The accuracy of all pricing tables, province rules, and surcharges.
  • Managing customer disputes, delivery outcomes, and refunds.
  • Compliance with the Protection of Personal Information Act (POPIA) regarding their customers’ data.

6. Limitation of Liability & Service Levels

  • 6.1 Uptime: While we strive for 99.9% uptime, it is not guaranteed. Maintenance and updates may cause temporary downtime.
  • 6.2 Operational Loss: The System Provider is not liable for any loss of business, revenue, or “lost bookings” resulting from server downtime, software bugs, pricing errors, or technical interruptions.
  • 6.3 Third-Party Failures: We are not liable for failures in third-party services, including but not limited to payment gateways (e.g., PayFast/Ozow), SMS gateways, or Google Maps APIs.
  • 6.4 Financial Cap: Total liability for any claim is strictly limited to the subscription fees paid by the Client in the three (3) months preceding the claim.

7. Termination

  • 7.1 Cancellation: Either party may terminate the agreement with 30 days’ written notice.
  • 7.2 Effects of Termination: Upon termination or non-payment, access to the website and the admin dashboard is revoked. Data exports can be requested within 14 days of termination, subject to a processing fee.

8. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the jurisdiction of the courts within the Republic.


By paying the setup fee or the first month’s subscription, the Client confirms their acceptance of these terms.
